AGREEMENT BETWEEN USER AND TIMBAKTUU ENTERPRISES Trading As (“DIJIMO”).

The Dijimo Web Site comprises of various Web pages operated by Timbaktuu Enterprises (Proprietary) Limited.

The Dijimo Web Site is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the Dijimo Web Site constitutes your agreement to all such terms, conditions, and notices.

MODIFICATION OF THESE TERMS OF USE

Dijimo reserves the right to change the terms, conditions, and notices under which the Dijimo Web Site is offered, including but not limited to the charges associated with the use of the Dijimo Web Site.

POPI ACT AGREEMENT AND CONSENT DECLARATION:

WHEREAS IT IS AGREED THAT

All parties agree that they will comply with POPI regulations and process all the information and/or personal data in respect of the services being rendered in accordance with the said regulation and only for the purpose of providing the Services set out in the agreement to provide services.

The company (also called the service provider), all the parties to this agreement, the service provider’s employees and the client’s employees, and any subsequent party/parties to this agreement acknowledge and confirm that one or more of the parties to this agreement will possess and will continue to possess information that may be classified or maybe deemed as private, confidential or as personal information.

Such information may be deemed as private, confidential or as personal information in so far as it relates to any party to this agreement.

Such information may also be deemed as or considered as private, confidential, or as personal information of any third person who may be directly or indirectly associated with this agreement.

Further, it is acknowledged and agreed by all parties to this agreement, that such private, confidential, or as personal information may have value and such information may or may not be in the public domain. For purposes of rendering services on behalf of the client, the service provider and any party associated with this agreement and/or any subsequent or prior agreement that may have been/will be entered into, irrevocably agree that “confidential information” shall also include inter alia and shall mean inter alia:

(a)all information of any party which may or may not be marked “confidential,” “restricted,” “proprietary” or with a similar designation;

(b)where applicable, any and all data and business information;

(c)where applicable the parties may have access to data and personal and business information regarding clients, employees, third parties and the like including personal information as defined in POPI regulation; and

(d)trade secrets, confidential knowledge, know-how, technical information, data or other proprietary information relating to the client/service provider or any third party associated with this agreement and (including, without limitation, all products information, technical knowhow, software programs, computer processing systems and techniques employed or used by either party to this agreement and/or their affiliates.

All parties irrevocably agree to abide by the terms and conditions as set out in this agreement as well as you agree and acknowledge that all information provided, whether personal or otherwise, may be used and processed by the service provider and such use may include placing such information in the public domain. Further it is specifically agreed that the service provider will use its best endeavours and take all reasonable precautions to ensure that any information provided, is only used for the purposes of the agreement.

It is confirmed that by submitting information to the service provider, irrespective as to how such information is submitted, you consent to the collection, collation, processing, and storing of such information and the use and disclosure of such information in accordance with this policy.

SHOULD YOU NOT AGREE TO THE TERMS AND CONDITIONS AS SET OUT IN THIS AGREEMENT AND CONSENT DECLARATION YOU MUST NOTIFY THE SERVICE PROVIDER IMMEDIATELY FAILING WHICH IT WILL BE DEEMED THAT YOU ACCEPT AND AGREE TO THE TERMS AND CONDITIONS SET OUT ABOVE

However, Dijimo reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. Dijimo reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

Dijimo reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Dijimo’s sole discretion.

Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. Dijimo does not control or endorse the content, messages or information found in any Communication Service and, therefore, Dijimo specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. TERMINATION/ACCESS RESTRICTION

Dijimo reserves the right, in its sole discretion, to terminate your access to the Dijimo Web Site and the related services or any portion thereof at any time, without notice. GENERAL To the maximum extent permitted by law, this agreement is governed by the laws of the Republic of South Africa. and you hereby consent to the exclusive jurisdiction and venue of courts in Johannesburg, Gauteng, South Africa, in all disputes arising out of or relating to the use of the Dijimo Web Site. Use of the Dijimo Web Site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Dijimo as a result of this agreement or use of the Dijimo Web Site. Dijimo’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Dijimo’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Dijimo Web Site or information provided to or gathered by Dijimo with respect to such use.

If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Dijimo with respect to the Dijimo Web Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Dijimo with respect to the Dijimo Web Site.

A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

It is the express wish to the parties that this agreement and all related documents be drawn up in English.

Registration

We will process any and all personal information provided to us by yourself upon or during your use of this Site, such as that stipulated above, in accordance with the provisions of the Act.

Log Files

We collect statistical information about you from page hits. Insofar as you are making an application for a loan or any other application for services that requires a valuation of your credit profile, your purchase history on Dijimo will be disclosed to our business partners in order for our business partners to evaluate the risk in providing any such services, including but not limited to, third party financial services.

We will release information about you (as either the buyer or the seller) to the respective buyer or seller, as the case may be, in the following circumstances:

(a) Where you, as the buyer or seller, are no longer contactable pursuant to a sale or purchase;

(b) Where you are not fulfilling your obligations in terms of any sale between yourself and the buyer or seller as the case may be;

This information will also, in addition to the above, only be released to the other party by ourselves:

- upon a formal request by the buyer or seller, as the case may be, in terms of The Promotion of Access to Information Act;

- the release of such information is reasonably necessary and appropriate to enforce or apply the Terms and Conditions of Use of This Site;

- the release of such information is reasonably necessary and appropriate to protect the rights, property or safety of Dijimo, our users and others; and

- access to such information is not refused on any of the grounds for refusal set out in Chapter 4 of Part 3 of the Promotion of Access to Information Act.

Upon a formal request by the buyer or seller, as the case may be, for access to your information for any of the reasons listed in clause 16.5.3 of our Terms of Use, we undertake to notify you of such request (via email) and should you fail to respond to such communication within 7 days of the delivery thereof, your information will be released to the said party.

You also agree that we will not be liable to you or any other person for any loss, damage, expense, or other amounts incurred, savings foregone, or hardship suffered, by any person however arising (including where the cause cannot be determined), through the release of your personal details, in the event of (a) and (b) above.

This can be done at the member information page or by emailing our Customer Support at information@dijimo.co.za.

Should you wish us to remove your personal data provided to us, we will delete your account. However, records of your personal information will be retained for a period of 5 years as required for lawful purposes related to our functions and activities and for statistical purposes in accordance with the Protection of Personal Information Act. This information will merely be retained and not used, shared or sold.

Anti-Spam Policy

We are committed to permission-based email marketing practices, and have established this no-tolerance Anti-Spam Policy. We may update this policy and provide notice of any changes on its home page. Your use of this website and/or app constitutes your acceptance of the terms and conditions of our Anti-Spam Policy.

Spam is commercial email or unsolicited bulk email, including junk mail, which has not been requested by the recipient. Spam is the opposite of permission-based email.

If you believe that you have received Spam connected to Dijimo in any way, send a complaint including the unsolicited email, to Dijimo abuse. In order to protect your privacy, we do not sell, share or trade our subscriber list with anyone for any reason and you may unsubscribe at any time.

Data Retention

We keep your personal information for as long as is required or permitted by law or a contract and/or depending on our interactions with us, records of your personal information will be retained as required for lawful purposes related to our functions and activities, for statistical purposes, for evidentiary purposes, for a further period with your consent or for security and fraud prevention purposes.
