Agreement between the customer and Timbaktuu Post (Proprietary) Limited (“Tuu Post”) for the use of WorkSuite.
WorkSuite is a productivity and workforce operations suite owned and operated by Timbaktuu Post (Proprietary) Limited (“Tuu Post”, “we”, “us”), a company registered in South Africa, number 2018 / 484330 / 07, with its registered office at First Floor, Work Central, Bel Air Shopping Mall, Bellairs Drive and Malibongwe Drive, Northriding, Johannesburg, 2169.
These General Terms and Conditions govern access to and use of WorkSuite, including its websites, chat-based applications, dashboards, application programming interfaces and related services (together, the “Service”). “You” means the organisation that subscribes to the Service and each person who accesses it under that subscription. By subscribing to or using the Service you accept these terms without modification. Please read them carefully and retain a copy. If you do not agree with them, you must not use the Service.
Clause 01The Service
Tuu Post grants you a non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during the subscription term, subject to these terms and to payment of all applicable fees. We may add, modify or withdraw features and applications from time to time. Where a change materially reduces the functionality of an application you subscribe to, we will give you reasonable prior notice.
The Service is delivered over third-party messaging and network infrastructure that we do not own or control. You acknowledge that availability of those channels is outside our control and does not form part of any service commitment we give.
Clause 02Accounts, access and security
You are responsible for maintaining the confidentiality of all credentials, access tokens, dedicated numbers and administrator accounts issued to you, and for all activity that occurs under them. You must notify us without delay at admin@tuupost.com if you become aware of any unauthorised access or suspected compromise.
You are responsible for ensuring that every person you permit to access the Service is authorised to do so and complies with these terms.
Clause 03Fees, billing and subscription term
Fees are set out in the applicable order form, quotation or published price list. WorkSuite applications are licensed on a usage basis, charged per event and per platform, rather than per named user, unless your order form states otherwise. Usage is measured by our systems, and those records will be used to determine amounts payable.
- invoices are payable within the period stated on the invoice, without set-off or deduction;
- all amounts are quoted in South African Rand and are exclusive of value-added tax unless stated otherwise;
- we may revise fees on reasonable written notice, effective from the start of the next subscription period; and
- we may suspend access where an invoice remains unpaid after written notice and a reasonable opportunity to remedy.
Subscriptions continue for the term stated in your order form and renew for successive equivalent periods unless either party gives notice of non-renewal before the end of the then-current term.
Clause 04Your data and personal information
You retain all rights in the data you and your personnel submit to the Service (“Customer Data”). You grant us the right to host, process, transmit and display Customer Data to the extent necessary to provide the Service, to support you, and to meet our legal obligations.
Where Customer Data includes personal information, you act as the responsible party and we act as an operator, as those terms are used in the Protection of Personal Information Act, 2013 (“POPIA”). We will process personal information only on your documented instructions and for the purposes of providing the Service, will apply appropriate technical and organisational measures to secure it, and will notify you without undue delay of any compromise of which we become aware.
You warrant that you have a lawful basis for the personal information you submit, that you have given the notices and obtained the consents required by POPIA, and that your instructions to us will not place us in breach of applicable law. Our handling of personal information is described further in our Privacy Notice.
We may compile aggregated, de-identified statistics about use of the Service for the purposes of operating, securing, supporting and improving it. Such statistics will not identify you, your personnel or any individual.
Clause 05Acceptable use
You may not use the Service, and must not permit any person to use it, to:
- send unsolicited, deceptive or unlawful communications, or communications that contravene applicable electronic communications or consumer protection law;
- store or transmit material that is unlawful, defamatory, obscene, harassing, or that infringes the rights of any person;
- introduce viruses, malicious code or any means of interfering with the integrity or performance of the Service;
- gain or attempt to gain unauthorised access to the Service or to any data not intended for you;
- copy, adapt, reverse engineer, decompile or create derivative works of the Service, or attempt to derive its source code, except to the extent permitted by law;
- resell, sublicense or otherwise make the Service available to third parties except as expressly permitted in writing by us; or
- circumvent usage limits, metering, rate limits or any technical restriction we apply.
We may suspend access immediately where we reasonably believe use of the Service threatens the security, integrity or lawful operation of the Service or of any third party.
Clause 06Intellectual property
All rights in and to the Service, including its software, application logic, conversational flows, dashboards, documentation, trade marks and the WorkSuite and Tuu Post names and logos, remain the exclusive property of Tuu Post and its licensors. Nothing in these terms transfers any right of ownership to you. Any rights not expressly granted are reserved.
Where you provide feedback or suggestions regarding the Service, you grant us a perpetual, irrevocable, royalty-free right to use that feedback in the development and operation of our products, without obligation or compensation.
Clause 07Confidentiality
Each party may receive information of the other that is marked confidential or that a reasonable person would understand to be confidential, including data, business information, pricing, technical know-how and information relating to clients, employees and third parties. Each party undertakes to hold such information in confidence, to use it only for the purposes of these terms, and to disclose it only to those of its personnel and advisers who need it and who are bound by equivalent obligations. These obligations do not apply to information that is or becomes public through no breach of these terms, or that a party is required to disclose by law or by a competent authority.
Clause 08Service availability and support
We will use commercially reasonable efforts to keep the Service available and to provide support through the channels published from time to time. Planned maintenance will be notified in advance where practicable. Unless a separate written service level agreement is in place, we give no commitment as to uptime, response times or resolution times.
Clause 09Warranties and liability disclaimer
We warrant that we will provide the Service with reasonable skill and care. Save for that warranty and to the maximum extent permitted by applicable law, the Service and all related information, software, outputs and graphics are provided “as is” and “as available” without warranty or condition of any kind, and Tuu Post and its suppliers disclaim all other warranties and conditions, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. Outputs of the Service, including reports, analytics and verification records, are tools to support your decisions and should not be relied upon as professional, legal, medical or financial advice. To the maximum extent permitted by law, neither Tuu Post nor its suppliers will be liable for any indirect, punitive, incidental, special or consequential damages, or for loss of profit, revenue, goodwill, business opportunity or data, arising out of or connected with the use or performance of the Service. Our total aggregate liability arising out of or in connection with these terms is limited to the fees paid by you for the Service in the three months preceding the event giving rise to the claim. Nothing in these terms excludes liability that cannot lawfully be excluded. Service contact: admin@tuupost.com.
Clause 10Indemnity
You indemnify Tuu Post against all claims, losses and reasonable costs arising from your use of the Service in breach of these terms, from Customer Data you submit, or from any claim that your instructions to us or your processing of personal information contravened applicable law.
Clause 11Suspension and termination
Either party may terminate the subscription on written notice if the other commits a material breach and fails to remedy it within fifteen business days of written notice. We may suspend or terminate access where required by law, where fees remain unpaid after notice, or where continued provision would expose either party to material legal or security risk.
On termination your right to access the Service ends. We will make Customer Data available for export for a period of thirty days following termination, after which we may delete it in accordance with our retention practices, save where we are required by law to retain it.
Clause 12Changes to these terms
We may amend these terms from time to time. Where an amendment is material we will give reasonable notice, and your continued use of the Service after the effective date constitutes acceptance. The current version is the one published on this page.
Clause 13General
These terms are governed by the laws of the Republic of South Africa, and the parties consent to the exclusive jurisdiction of the courts in Johannesburg, Gauteng. No joint venture, partnership, employment or agency relationship arises between the parties as a result of these terms. If any provision is found invalid or unenforceable, it will be deemed superseded by a valid, enforceable provision that most closely matches the original intent, and the remainder will continue in effect. Neither party may cede or assign its rights without the other's written consent, save that we may assign these terms as part of a corporate reorganisation or transfer of business. These terms, together with the applicable order form and the documents referred to in them, constitute the entire agreement between the parties in respect of the Service. It is the express wish of the parties that these terms and all related documents be drawn up in English.
